These Terms of Service ("Terms") govern your access to and use of the website located at zemastream.com (the "Site") and any services offered by Zema Stream Technology ("Zema Stream," "we," "us," or "our"), including AI pre-sales and solution architecture support, technical account management, local delivery and proof-of-concept services, and on-demand local entity support (collectively, the "Services"). By accessing the Site or engaging our Services, you agree to be bound by these Terms.

1. Nature of Service

Zema Stream Technology is a business-to-business ("B2B") enterprise services provider. Our Services are intended solely for use by businesses, organizations, and their authorized representatives in connection with the evaluation, deployment, and support of AI infrastructure and related technologies in international markets. Our Services do not constitute the sale of AI models, software licenses, or consumer products, and any specific engagement is governed by a separate, mutually executed service agreement or statement of work between Zema Stream and the client, which shall control in the event of any conflict with these Terms.

2. Eligibility

By using the Site or Services, you represent that you are acting on behalf of a legal business entity, that you have the authority to bind that entity to these Terms, and that you are at least 18 years of age.

3. Use of the Website

You agree to use the Site only for lawful purposes and in a manner consistent with all applicable local, national, and international laws and regulations. You agree not to: (a) misrepresent your identity or affiliation when submitting information through our lead capture form; (b) interfere with or disrupt the operation of the Site; (c) attempt to gain unauthorized access to any portion of the Site or its related systems; or (d) use any automated means to extract data from the Site without our prior written consent.

5. Client Engagements and Service Agreements

Submission of an inquiry through our contact form does not create a binding service relationship. Any engagement of our Services, including scope, deliverables, fees, service levels, and term, will be governed exclusively by a separate written agreement executed between Zema Stream Technology and the client entity. In the event of any inconsistency between such an agreement and these Terms, the executed agreement shall govern.

6. Confidentiality

Information exchanged in connection with a prospective or active client engagement, including technical specifications and business plans, will be treated as confidential in accordance with the confidentiality provisions of the applicable service agreement or a separately executed non-disclosure agreement.

7. Disclaimers

The Site and any general information provided on it are offered on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Zema Stream Technology does not warrant that the Site will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Zema Stream Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Site, whether based on warranty, contract, tort, or any other legal theory. Liability arising from a specific client engagement shall be governed exclusively by the limitation of liability provisions in the applicable service agreement.

9. Indemnification

You agree to indemnify and hold harmless Zema Stream Technology, its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your misuse of the Site or violation of these Terms.

10. Cross-Border Operations and Compliance

Given the international nature of our Services, clients and Site users acknowledge that Services may be delivered from, and data may be processed in, multiple jurisdictions, including the United States, the European Union, and the People's Republic of China. Each party is responsible for compliance with export control, data protection, and other applicable laws in its own jurisdiction. Any disputes arising under these Terms that are not otherwise addressed by a specific service agreement shall be resolved through good-faith negotiation between the parties in the first instance.

We may revise these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date at the top of this page. Continued use of the Site following any changes constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
